Technology transfer
Licence, assignment and know-how agreements recorded at INPI, so the transaction is effective against third parties.
What you need to know
When a company licenses a trademark or patent, assigns rights or transfers technical knowledge to another, the agreement can be taken to INPI. Recordal is what makes the transaction enforceable against third parties and, when payments are sent abroad, it is a condition for paying royalties and for the tax treatment of the agreement.
The work starts before INPI: checking that ownership is in order, that the subject of the agreement is actually protected and that the clauses on term, territory, exclusivity and remuneration describe what the parties agreed. Franchising also belongs here — Law 13,966/2019 requires a registered trademark or a filed application in order to franchise.
How it works
Check of the ownership and validity of the assets involved in the agreement.
Review of the clauses INPI examines and of what the parties actually negotiated.
Request filed at INPI with the parties’ documentation.
Once the recordal is complete, the transaction is effective against third parties.
